1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of DentoMate, a dental clinic management platform operated in India. By creating an account or using any part of the platform, you agree to be bound by these Terms. If you do not agree, you must not use the service.

These Terms form a legally binding agreement between you (the clinic owner or authorised staff member) and DentoMate.

2. Description of Service

DentoMate provides a cloud-based practice management platform designed for dental clinics in India. The platform includes:

• Patient record management (visit history, treatments, prescriptions, medical history)
• Appointment and treatment tracking
• WhatsApp Business messaging for patient communication and campaigns, via the Meta WhatsApp Business API
• Revenue and cash flow analytics
• AI-assisted clinical tools (medicine suggestions powered by Google Gemini)
• Multi-clinic and multi-staff access management
• Subscription billing via Razorpay

Features available to you depend on your active subscription plan (Free, Starter, or Pro). We reserve the right to modify, add, or remove features with reasonable notice.

3. Eligibility & Accounts

DentoMate is intended for use by registered dental practitioners and their authorised clinic staff in India. By registering, you represent that:

• You are at least 18 years of age.
• You are legally authorised to operate the clinic(s) registered on the platform.
• All information you provide during registration and onboarding is accurate and complete.

You are responsible for maintaining the confidentiality of your login credentials. Any activity under your account is your responsibility. Notify us immediately if you suspect unauthorised access.

4. Subscription Plans & Billing

DentoMate offers tiered subscription plans. Billing is processed through Razorpay. By subscribing to a paid plan, you authorise Razorpay to charge your chosen payment method on the applicable billing cycle (monthly or annual).

• Subscriptions auto-renew unless cancelled before the renewal date.
• Downgrading your plan takes effect at the end of the current billing period.
• Refunds are not provided for unused periods of a subscription, except where required by applicable Indian law.
• We reserve the right to change pricing with at least 30 days' advance notice to active subscribers.

If a payment fails, access to paid features may be suspended until payment is successfully processed.

5. Patient Data & Your Obligations

As the clinic owner, you are the data controller for your patients' personal and medical information. You agree to:

• Collect and manage patient data in compliance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023.
• Obtain explicit consent from patients before sending WhatsApp messages through the platform, including appointment reminders, care instructions, and marketing campaigns.
• Ensure that patient records entered into DentoMate are accurate.
• Not enter data for patients who have opted out of digital communication.

DentoMate is a processor of patient data on your behalf. We will not access, share, or use patient data for any purpose other than providing the service to your clinic.

6. WhatsApp Messaging

DentoMate's WhatsApp features use the Meta WhatsApp Business API. By using these features, you agree to:

• Comply with Meta's WhatsApp Business Policy and Messaging Policy.
• Send messages only to patients who have consented to receive WhatsApp communications from your clinic.
• Use approved message templates only for permitted use cases (appointment reminders, clinical follow-ups, and opt-in marketing).
• Not use the messaging features for spam, unsolicited promotions, or any content prohibited by Meta's policies.

Misuse of WhatsApp messaging may result in your WhatsApp Business Account being suspended by Meta. DentoMate is not liable for such suspension.

7. AI-Powered Features

DentoMate includes AI-assisted tools (such as medicine suggestions) powered by Google Gemini. These features are intended as decision-support aids only. They do not constitute medical advice and must not replace clinical judgement. You, as the treating clinician, are solely responsible for all treatment decisions made using the platform.

8. Acceptable Use

You agree not to use DentoMate to:

• Violate any applicable law or regulation.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to any part of the platform or another user's account.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Resell, sublicense, or white-label the platform without our prior written consent.
• Use the platform to send fraudulent, misleading, or harassing communications to patients.

Violation of this section may result in immediate account suspension or termination without refund.

9. Intellectual Property

DentoMate, its design, software, and all associated content are the exclusive property of DentoMate and its licensors, protected under Indian copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your clinic's internal operations during your subscription period.

Your clinic data and patient records remain your property. You may export your data at any time through the platform's available export features.

10. Limitation of Liability

To the maximum extent permitted by applicable law, DentoMate shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or business — arising from your use of or inability to use the platform.

DentoMate's total cumulative liability for any claim arising out of or related to these Terms shall not exceed the amount you paid to DentoMate in the three months preceding the claim.

11. Termination

You may cancel your account at any time from the Billing page. We reserve the right to suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or misuse the platform. Upon termination, your access to the platform ceases and your data will be handled as described in our Privacy Policy.

12. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.
